Agreement between User and iAutomate Marketing
Last updated September 26, 2026
We are Z Marketing Enterprises LLC, doing business as iAutomate Marketing (“Company,” “we,” “us,” or “our”), a company registered in Texas, United States, with a mailing address at 5301 Alpha Rd Ste 80, Dallas, TX 75240.
We operate the website iAutomateMarketing.com (the “Site”), as well as related websites, digital products, assessments, diagnostic tools, implementation services, consulting services, and other products or services that refer or link to these Terms of Use (collectively, the “Services”).
You may contact us by email at support@iautomatemarketing.com or by mail at 5301 Alpha Rd Ste 80, Dallas, TX 75240, United States.
These Terms of Use constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Z Marketing Enterprises LLC concerning your access to and use of the Services.
By accessing the Services, submitting a form, purchasing a product or service, or using any digital product or diagnostic tool, you confirm that you have read, understood, and agreed to be bound by these Terms of Use and our Privacy Policy.
IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.
Additional terms displayed on a product page, checkout page, order form, service agreement, or access page are incorporated into these Terms by reference. If offer-specific terms directly conflict with these general Terms, the offer-specific terms control for that purchase.
We may update these Terms from time to time. We will indicate changes by updating the “Last updated” date above. Your continued use of the Services after revised Terms are posted constitutes acceptance of those revisions.
The Services are intended only for users who are at least 18 years old. Persons under 18 may not purchase, register for, or use the Services.
TABLE OF CONTENTS
OUR SERVICES
The Services may include websites, contact forms, questionnaires, assessments, diagnostic tools, digital educational materials, artificial-intelligence-assisted experiences, marketing-technology implementation, CRM and workflow configuration, consulting, and related services.
The specific scope, price, access period, deliverables, limitations, and payment schedule for a purchase are described on the applicable product page, checkout page, order form, or service agreement.
Unless expressly stated otherwise in writing, the Services do not include custom software development, custom API development, ongoing advertising or social-media management, legal advice, financial advice, medical advice, or guaranteed business results.
You are responsible for providing accurate information, timely approvals, required account access, and other cooperation reasonably necessary for us to provide purchased Services. Delays caused by missing information, unavailable access, third-party platforms, or your failure to complete required steps may affect the delivery schedule.
You may not submit regulated health information, full payment-card information, account passwords, private authentication codes, or other highly sensitive information through a general website form, assessment, or questionnaire unless we expressly provide an approved method for doing so.
INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, the Services and their original content—including website copy, branding, graphics, assessments, diagnostic frameworks, prompts, workflows, processes, educational materials, reports, templates, designs, software configurations, and underlying methods—are owned by or licensed to us and are protected by intellectual-property laws.
We grant you a limited, revocable, nonexclusive, nontransferable license to access and use purchased Services for your own internal business purposes, subject to these Terms and any offer-specific conditions.
You may not copy, reproduce, republish, sell, sublicense, distribute, reverse engineer, publicly display, create derivative products from, or commercially exploit our proprietary materials without our prior written permission.
Purchasing access to a Service does not transfer ownership of the Service, its methodology, its diagnostic structure, its prompts, or its underlying intellectual property.
You retain ownership of your preexisting business materials, trademarks, content, account data, and other materials you provide to us. To the extent necessary to deliver the Services, you grant us a limited license to access, use, reproduce, configure, and process those materials.
USER REPRESENTATIONS
By using the Services, you represent and warrant that:
The information you provide is accurate, current, and complete.
You have the authority to enter into these Terms personally or on behalf of the business you represent.
You are at least 18 years old.
You will use the Services only for lawful business purposes.
You will not use the Services to violate another person’s rights.
You have permission to provide any content, data, account access, or materials submitted to us.
You will maintain the security of your accounts, passwords, access codes, and authentication methods.
You will promptly notify us if you believe your access credentials have been lost, shared without authorization, or compromised.
If information you provide is false, incomplete, misleading, or unauthorized, we may suspend or terminate access to the Services.
PURCHASES AND PAYMENT
You agree to provide current, complete, and accurate purchase and billing information.
Available payment methods are displayed during checkout. Payments are processed by third-party payment providers, which may include Stripe. We do not directly store complete payment-card numbers.
Prices are stated in U.S. dollars unless otherwise indicated. Applicable taxes or fees may be added where required by law.
By submitting an order, you authorize us and our payment processor to charge the payment method provided for the total amount and according to the payment schedule displayed at checkout.
A purchase is not complete until payment authorization is successfully received. We may decline or cancel an order when fraud, pricing errors, payment failure, duplicate transactions, unauthorized use, or other legitimate concerns are identified.
You are responsible for ensuring that the email address entered during checkout is accurate and accessible. Product access, receipts, credentials, notices, and required next steps may be delivered to that address.
SUBSCRIPTIONS AND INSTALLMENT PLANS
Most Services are sold as one-time purchases unless the checkout page expressly identifies the offer as recurring.
If an offer includes an installment or split-payment plan, selecting that plan commits you to the full purchase price—not merely the first installment. You authorize each scheduled installment to be charged automatically to the payment method provided on the dates disclosed at checkout.
An installment plan is not a cancel-anytime subscription. Failure to use the Service, complete onboarding, attend a scheduled call, or access purchased materials does not cancel the remaining payment obligation.
If a scheduled payment fails, we may retry the payment, request an updated payment method, pause access, suspend work, or pursue the outstanding balance as permitted by law.
If a recurring subscription is offered, its billing interval, renewal terms, cancellation process, and effective cancellation date will be displayed at checkout or in its offer-specific terms.
Authority Accelerator™ Lab access is time-limited. Unless otherwise stated in writing, the access window lasts 72 hours beginning when the access credentials are issued.
Failure to begin or complete the Lab during the access period does not automatically extend the access window. If a verified technical issue prevents access, contact support promptly so the issue can be reviewed and access restored when appropriate.
Later access may require a new purchase. A legitimate repurchase after a prior access window has expired may receive a new access code and a new access period. Duplicate purchases made while access is still active may be held for review rather than automatically restarting the access period.
REFUND POLICY
Refund eligibility is governed by the terms displayed at checkout, on the applicable product page, or in an applicable service agreement.
Authority Accelerator™ Lab purchases are non-refundable once access credentials have been issued, except where required by law. Failure to use or complete the Lab during the stated access period does not create refund eligibility.
If a verified technical problem caused by our systems prevents access during the applicable access window, contact support@iautomatemarketing.com promptly so we can investigate and, when appropriate, restore access.
For implementation or consulting Services, payments may become non-refundable after onboarding, account review, configuration work, strategy work, or other service performance has begun, as disclosed in the applicable offer terms or service agreement.
Dissatisfaction with a diagnostic finding, recommendation, implementation decision, or the absence of a particular business result does not by itself create refund eligibility.
Nothing in this Refund Policy limits any refund, cancellation, or other consumer right that cannot legally be waived.
PROHIBITED ACTIVITIES
You may not use the Services to:
Violate any applicable law or regulation.
Infringe intellectual-property, privacy, publicity, or contractual rights.
Collect or transmit information without proper authorization.
Upload malicious code or interfere with the operation or security of the Services.
Attempt to obtain unauthorized access to any account, system, assessment structure, access code, or restricted content.
Share, sell, publish, or distribute personal access credentials.
Copy, scrape, extract, reverse engineer, or recreate our proprietary assessments, prompts, scoring methods, diagnostic logic, workflows, or materials.
Impersonate another person or misrepresent your affiliation or authority.
Submit false, fraudulent, misleading, abusive, or unlawful content.
Use the Services to send spam or unauthorized marketing communications.
Circumvent payment, access, security, usage, or time limitations.
Use automated systems to access the Services in a manner that creates an unreasonable load.
Use the Services or their outputs to train, build, or improve a competing product without our written permission.
We may investigate suspected violations and restrict or terminate access when reasonably necessary.
USER GENERATED CONTRIBUTIONS
The Services may allow you to submit questionnaire responses, diagnostic information, comments, feedback, testimonials, written content, screenshots, files, or other materials (“Contributions”).
You retain ownership of your Contributions. You are responsible for ensuring that you have the right to submit them and that they do not violate any law, agreement, or third-party right.
We will not publicly display an identifiable testimonial, diagnostic statement, case study, or similar Contribution without your express permission.
If you authorize public use, we may display the approved material in the format and context described when permission is requested. You may withdraw that permission prospectively by emailing support@iautomatemarketing.com. Withdrawal does not require us to recall materials already lawfully printed, distributed, or published before your request was processed.
CONTRIBUTION LICENSE
By submitting Contributions, you grant us a limited, nonexclusive license to host, store, process, reproduce, and use them as reasonably necessary to:
Provide the Services.
Generate your requested results or deliverables.
Respond to your requests.
Maintain business records.
Improve the reliability and operation of our Services using de-identified or aggregated information.
Satisfy legal and security obligations.
Submitting feedback or suggestions permits us to use those ideas without compensation or attribution, but it does not transfer ownership of your underlying business content to us.
Nothing in these Terms requires you to transfer ownership of an honest review.
ADVERTISERS AND THIRD-PARTY LINKS
The Services may contain links to third-party websites, tools, calendars, payment processors, CRM platforms, software providers, or other services.
We do not control third-party services and are not responsible for their availability, content, privacy practices, security, pricing, performance, or actions. Your use of a third-party service is governed by that provider’s own terms and policies.
Some links may be referral or affiliate links. If you purchase through an affiliate link, we may receive compensation at no additional cost to you. An affiliate relationship does not guarantee that a third-party service will be appropriate for your specific needs.
SERVICES MANAGEMENT
We reserve the right, but not the obligation, to:
Monitor the Services for violations of these Terms.
Restrict or refuse access to users who violate these Terms.
Remove content that creates legal, operational, privacy, or security concerns.
Manage the Services in a manner designed to protect our rights and maintain their proper operation.
Make reasonable changes necessary to accommodate platform, legal, technical, or security requirements.
PRIVACY POLICY
We care about data privacy and security. Please review our Privacy Policy at:
https://www.iautomatemarketing.com/privacy
By using the Services, you agree to the collection and processing practices described in the Privacy Policy.
The Services may rely on third-party platforms whose systems operate in the United States or other jurisdictions. By using the Services, you understand that information may be processed by authorized providers as necessary to deliver the Services.
TERM AND TERMINATION
These Terms remain in effect while you use the Services.
We may suspend or terminate access, without prior notice when reasonably appropriate, if you:
Violate these Terms.
Fail to make a required payment.
Share restricted access credentials.
Misuse proprietary materials.
Create a security risk.
Engage in unlawful, fraudulent, threatening, or abusive conduct.
Attempt to interfere with the Services or another user’s access.
Termination does not eliminate outstanding payment obligations or provisions intended to survive termination, including intellectual-property protections, payment obligations, disclaimers, limitations of liability, dispute provisions, and indemnification obligations.
MODIFICATIONS AND INTERRUPTIONS
We may modify, update, suspend, or discontinue all or part of the Services when reasonably necessary.
We do not guarantee that every Service, integration, platform feature, or third-party connection will remain available indefinitely. Third-party providers may change their systems, pricing, access policies, APIs, permissions, or features without our control.
We are not liable for interruptions, delays, or changes caused by maintenance, provider outages, internet failures, security incidents, platform restrictions, events outside our reasonable control, or your failure to maintain required accounts and access.
When practical, we may provide a reasonable substitute or adjustment if a material third-party change affects a purchased Service.
GOVERNING LAW
These Terms and your use of the Services are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
To the extent that a dispute is not subject to binding arbitration or eligible for small-claims court, you consent to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas.
DISPUTE RESOLUTION
Informal Resolution
Before filing a formal claim, the complaining party must provide written notice describing the dispute and requested resolution. The parties will attempt in good faith to resolve the dispute for at least 30 days after the notice is received.
Notices to us must be sent to support@iautomatemarketing.com and must include the sender’s name, contact information, purchase information, and a description of the issue.
Binding Individual Arbitration
If the dispute is not resolved informally, either party may require the dispute to be resolved through binding individual arbitration administered by the American Arbitration Association under the rules applicable to the dispute.
Arbitration will take place remotely, by written submissions, or in Dallas County, Texas, as permitted by the applicable rules and determined by the arbitrator.
The parties waive the right to a jury trial and agree that claims must be brought individually, not as a plaintiff or class member in a class, consolidated, or representative proceeding, to the extent permitted by law.
Exceptions
Either party may bring an eligible claim in small-claims court. Either party may also seek injunctive or equitable relief concerning intellectual-property infringement, unauthorized system access, misuse of credentials, data security, or unlawful use of proprietary materials.
Payment Disputes
Contact us before initiating a payment dispute so we have an opportunity to investigate and attempt to resolve the issue. This request does not waive any non-waivable legal right.
A chargeback or payment dispute does not automatically eliminate a valid obligation under an installment plan or service agreement.
CORRECTIONS
The Services may contain typographical errors, inaccuracies, omissions, broken links, outdated statements, or pricing errors.
We may correct errors and update information at any time. If a material pricing or offer error affects a submitted order, we may cancel the transaction and issue an appropriate refund rather than fulfill the order under the erroneous terms.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM A PRODUCT OR SERVICE WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO US FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.
These limitations do not apply where liability cannot legally be excluded or limited.
INDEMNIFICATION
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Z Marketing Enterprises LLC, its members, employees, contractors, and agents from third-party claims, liabilities, damages, losses, and reasonable expenses arising from:
Your unlawful or unauthorized use of the Services.
Your violation of these Terms.

Nothing in these Terms limits any right available under applicable California law that cannot legally be waived.
MISCELLANEOUS
These Terms, the Privacy Policy, and any applicable product-page terms, checkout terms, order form, or signed service agreement constitute the entire agreement concerning the applicable Services.
Our failure to enforce a provision does not waive that provision.
If any provision is held invalid or unenforceable, that provision will be limited or removed only to the minimum extent necessary, and the remaining provisions will remain in effect.
You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, or transfer of the applicable business.
No partnership, joint venture, employment, fiduciary, or agency relationship is created by these Terms.
LIMITATIONS ON REMEDIES
You may not recover the same damages more than once under different legal theories.
Any remedy is subject to the disclaimers, liability limitations, and dispute provisions in these Terms, except where those limitations are prohibited by law.

NON-DISPARAGEMENT AND REVIEWS
Nothing in these Terms restricts your right to provide an honest review or assessment of our products, Services, or conduct.
You retain ownership of your review. We will not impose a penalty or fee merely because you express an honest negative opinion.
This section does not protect statements that are knowingly false or misleading, unlawfully defamatory, threatening, harassing, abusive, obscene, unrelated to the Services, or that disclose confidential information, private information, trade secrets, or protected intellectual property.
We reserve the right to respond factually to reviews and to request removal of content that violates applicable law or a platform’s published policies.
UNFORESEEN EVENTS (FORCE MAJEURE)
Neither party will be responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, fire, war, terrorism, civil unrest, labor disputes, government action, epidemics, widespread internet or utility failures, cyberattacks, third-party platform outages, or failures of hosting, payment, communication, or software providers.
The affected party will make reasonable efforts to resume performance when practical.
Payment obligations for Services already delivered or work already performed are not excused by this section.
